SiteBeacon Terms & Conditions of Use (USA)

1. Introduction

Welcome to SiteBeacon. These Terms & Conditions ("Terms") apply to all users within the United States accessing our website, tools, and digital assets ("Services"). By using SiteBeacon, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

2. Critical disclaimer regarding accessibility and legal advice

Please read this section carefully.

SiteBeacon provides automated web accessibility auditing and monitoring tools. By using our Services, you explicitly acknowledge and agree to the following:

  • We are not lawyers: SiteBeacon is a software provider, not a law firm. No information, score, ranking, or report provided by our Services constitutes legal advice or a legal opinion.

  • Automated limitations: Automated accessibility testing cannot detect every violation of the Web Content Accessibility Guidelines (WCAG), the Americans with Disabilities Act (ADA), or Section 508. A "perfect" score on SiteBeacon does not guarantee that your website is legally compliant or free from accessibility barriers.

  • No reliance: You agree that you will not rely on SiteBeacon as the sole determination of your website’s legal compliance. It is your responsibility to ensure your digital properties meet all applicable laws.

  • Release of liability: You expressly release SiteBeacon from any liability regarding lawsuits, demand letters, or legal actions brought against you by third parties regarding web accessibility. You cannot sue SiteBeacon or claim damages from us because you were sued for an accessibility violation.

3. Licence to Use

We grant you a limited, non-exclusive, non-transferable licence to use SiteBeacon for your internal business or educational purposes. You may not resell, redistribute, or act as a service bureau using our data without our express written permission.

4. Prohibited Uses

You agree not to misuse our Services. Specifically, you must not:

  • Use the Services for any unlawful purpose.

  • Scrape, crawl, or programmatically extract data from SiteBeacon without permission.

  • Reverse engineer, decompile, or attempt to derive the source code of our software.

  • Share your login credentials with third parties.

  • Upload malicious code, viruses, or burden our infrastructure with excessive automated requests (DDoS).

  • Sensitive Data and Restricted Environments: You explicitly agree not to use SiteBeacon to scan pages, environments, or databases that contain:

  • Protected Health Information (PHI) (e.g. medical records, patient data subject to HIPAA).

  • Payment Card Industry (PCI) data (e.g. credit card numbers).

  • Sensitive Personal Data (e.g. government IDs, social security numbers, biometrics).

  • Non-public or "staged" environments that are not secured by appropriate access controls.

5. Intellectual Property

All content, code, scores, designs, and algorithms on SiteBeacon are the proprietary property of SiteBeacon (or our licensors) and are protected by US and international copyright laws. You may display the SiteBeacon logo on your site only in accordance with our brand guidelines, but this does not grant you ownership of our marks.

6. Warranty Disclaimer

The Services are provided "as is" and "as available".

To the fullest extent permitted by law, SiteBeacon disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be error-free, uninterrupted, or that our reports will be 100% accurate.

7. Limitation of Liability

In no event shall SiteBeacon, its directors, employees, or affiliates be liable for any indirect, incidental, special, or consequential damages (including lost profits or legal fees) arising from your use of the Service.

Our total aggregate liability to you for any claim arising out of these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $500 USD, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless SiteBeacon and its affiliates from any claim, demand, or damage (including reasonable attorneys’ fees) asserted by any third party due to:

  • Your breach of these Terms.

  • Your violation of any law or the rights of a third party.

  • Any legal action taken against you regarding the accessibility or compliance of your website. (This means if you get sued for an ADA violation, you cover our costs if we get dragged into it).

9. Dispute Resolution & Class Action Waiver

  • Governing Law: These Terms are governed by the laws of the State of Delaware.

  • Arbitration: Any dispute arising under these Terms shall be resolved by binding arbitration in Delaware, administered by the American Arbitration Association (AAA). There is no judge or jury in arbitration.

  • Class Action Waiver: You agree to resolve disputes with us on an individual basis. You waive your right to participate in a class action lawsuit or class-wide arbitration against SiteBeacon.

  • Time Limit: Any claim regarding the Services must be filed within one (1) year after the cause of action arose, or it is permanently barred.

10. Changes and Termination

We may modify these Terms at any time. Continued use of the Services after changes constitutes acceptance. We reserve the right to terminate your access to SiteBeacon immediately, without notice, if you violate these Terms.
