SiteBeacon Terms & Conditions of Use (UK & Europe)

1. Introduction
Welcome to SiteBeacon. These Terms & Conditions ("Terms") apply to users in the United Kingdom and Europe accessing our website, tools, and digital assets ("Services"). By using SiteBeacon, you agree to these Terms and our Privacy Policy.
2. Important Notice: SiteBeacon does not provide legal advice
SiteBeacon provides automated web accessibility auditing. By using our Services, you understand and agree that:
We are not lawyers: SiteBeacon is a software provider. No report or score provided by our Services constitutes legal advice.
No guarantee of compliance: Automated auditing cannot detect every violation of the Equality Act 2010 (UK), the European Accessibility Act, or WCAG standards. A high score on SiteBeacon does not guarantee that your website is legally compliant.
Your responsibility: You are solely responsible for ensuring your website meets the accessibility laws in your jurisdiction.
3. Licence to use
We grant you a limited, non-exclusive, non-transferable licence to use SiteBeacon for your internal business purposes. You may not resell or redistribute our data without our written permission.
4. Acceptable Use
You agree not to misuse our Services. You must not:
Use the Services for any unlawful purpose.
Scrape, crawl, or extract data programmatically.
Reverse engineer or decompile our software.
Share your login credentials.
Sensitive Data: You explicitly agree not to use SiteBeacon to scan pages containing Sensitive Personal Data (e.g. medical records, financial data) or non-public "staged" environments insecurely. We accept no liability for data breaches resulting from your scanning of sensitive information.
5. Intellectual Property
All content, code, and algorithms on SiteBeacon are the property of SiteBeacon (or our licensors). You may use our logo only in accordance with our brand guidelines.
6. Limitation of Liability
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded by applicable law.
Subject to the above:
Financial Cap: Our total liability to you in respect of all losses arising under or in connection with these Terms shall not exceed the greater of £500 or the total fees paid by you to SiteBeacon in the 12 months preceding the claim.
Excluded Damages: We shall not be liable for any loss of profit, loss of business, business interruption, or loss of business opportunity, nor for any indirect or consequential loss.
7. Indemnity
You agree to indemnify us against any claims, damages, or legal costs we incur arising from:
Your breach of these Terms.
Any third-party claim brought against you regarding the accessibility of your website. (For example, if a third party takes legal action against you for a WCAG violation, you cannot pass that liability on to us).
8. Data Protection
For the purposes of the UK GDPR and EU GDPR:
Controller: We are the Data Controller for your account information (e.g. your name and email).
Processor: We act as a Data Processor for any data we scan on your websites.
By using the Service, you agree to the Data Processing Schedule attached as Annex A to these Terms.
9. Governing Law
For UK Users: These Terms are governed by English law. You and we both agree to submit to the exclusive jurisdiction of the English courts.
For EU Users: These Terms are governed by the laws of Ireland. You and we both agree to submit to the exclusive jurisdiction of the Irish courts.
10. Changes
We may update these Terms from time to time. If we make material changes, we will notify you. Continued use of the Services constitutes acceptance of the new Terms.
Annex A: Data Processing Schedule (GDPR & UK GDPR)
1. Scope and Roles
This Schedule applies only to the extent that SiteBeacon processes Personal Data on your behalf as part of the Services. You are the "Controller" and we are the "Processor".
2. Our Obligations
As your Processor, SiteBeacon agrees to:
Instructions: Process Personal Data only in accordance with your written instructions (including these Terms).
Confidentiality: Ensure staff are bound by confidentiality.
Security: Implement appropriate technical measures (e.g. encryption) to protect data.
Sub-processors: You authorise us to use third-party sub-processors (e.g., cloud hosts) provided they are bound by similar data protection obligations.
Assistance: Assist you in responding to Data Subject Rights requests and breach notifications.
Deletion: Delete or return data upon termination of your account.
3. International Transfers
If we transfer data outside the UK/EEA to a country without an adequacy decision, we will ensure appropriate safeguards (such as Standard Contractual Clauses) are in place.
4. Details of Processing
Subject Matter: Web accessibility auditing.
Data Categories: User account data; Public website data; Technical logs.
Data Subjects: Your employees (users) and individuals mentioned on scanned public websites.
